By accessing our website, engaging with Wiselia Limited's digital products, or using any software tools or deliverables provided by Wiselia Limited as part of a service agreement (collectively, the "Software" or "Services"), you acknowledge that you have read, understood, and agree to be legally bound by the terms of this End-User License Agreement ("EULA"). If you do not agree to these terms, please discontinue use of the Services immediately.


This Agreement governs your access to and use of any digital products, tools, website, and software components provided by Wiselia Limited. Your continued use of the Services constitutes your ongoing acceptance of this Agreement.


Changes to This Agreement


Wiselia Limited reserves the right to update or modify this EULA at any time without prior notice. The most recent version will apply to your use of the Services. We recommend reviewing this Agreement periodically to remain informed of any changes.


License and Restrictions


Wiselia Limited hereby grants you a limited, non-exclusive, non-transferable, and revocable license to access and use any software, digital tools, or deliverables provided to you as part of an agreed service, solely for the purpose and scope defined in the relevant service agreement or these Terms.


All rights, title, and interest in and to any software, website, code, content, trademarks, and intellectual property created or owned by Wiselia Limited remain the exclusive property of Wiselia Limited or its licensors, unless otherwise explicitly agreed in writing. You agree not to copy, modify, distribute, sell, sublicense, reverse engineer, decompile, disassemble, or otherwise exploit any proprietary materials beyond the scope of the granted license.


Unauthorized use of any software or materials provided by Wiselia Limited may result in immediate suspension or termination of your access and may subject you to legal action.


Client Support


During the term of an engagement, Wiselia Limited may provide technical and project support through agreed communication channels such as email, project management tools, or other methods defined in the service agreement. Any support provided outside the scope of a formal agreement is offered at Wiselia Limited's sole discretion.


Please note the following:


  • Any technical assistance provided does not constitute a warranty or guarantee of any kind beyond what is expressly stated in a signed service agreement.
  • You are solely responsible for maintaining appropriate backups of your data, configurations, and systems.
  • If a reported issue falls outside the agreed scope of services, Wiselia Limited reserves the right to decline, defer, or treat it as an additional engagement.


Restrictions on Use


Your access to and use of the Services are subject to the following limitations. Unless expressly authorized by this Agreement or a separate written contract, you agree not to:

  1. Unauthorized Distribution. Copy, reproduce, distribute, rent, sell, lease, assign, export, sublicense, or otherwise transfer any software, deliverable, or proprietary material provided by Wiselia Limited to any third party without explicit written permission.
  2. Reverse Engineering. Attempt to decompile, reverse engineer, disassemble, decode, or otherwise derive the source code, architecture, or algorithms of any software or digital product delivered by Wiselia Limited, except where permitted by applicable law.
  3. Commercial Misuse. Use any deliverable or software provided by Wiselia Limited for purposes beyond the agreed scope of the engagement, or in connection with unauthorized, competitive, or profit-driven activities not covered by the service agreement.
  4. Intellectual Property Violations. Remove, obscure, alter, or tamper with any proprietary notices, copyright marks, or other intellectual property designations embedded in any software or materials provided.
  5. Security Interference. Interfere with or disrupt the integrity, security, or performance of Wiselia Limited's website, systems, networks, or servers. Prohibited activities include malware injection, denial-of-service attacks, or exploitation of security vulnerabilities.
  6. Privacy Infringement. Use any Services to violate the rights of others, including intellectual property rights and data privacy laws. Collecting or transmitting personal data of others without their consent is strictly prohibited.
  7. Unauthorized Access. Attempt to gain unauthorized access to restricted areas of Wiselia Limited's systems or client portals through hacking, credential theft, or any other unauthorized means.
  8. Legal Compliance. Your use of the Services must comply fully with all applicable local, national, and international laws and regulations, including those related to copyright, trademarks, and data protection.


Modifications to the Software


Wiselia Limited reserves the right to update, upgrade, or modify any software or digital products delivered to clients at its sole discretion, where such updates are within the agreed scope of an ongoing engagement. Updates may include improvements, bug fixes, security patches, and new features.


Additionally, Wiselia Limited may modify, suspend, or discontinue features of its website or internal tools at any time without liability to users or website visitors.


Disclaimer of Warranties


Our website and any information or tools provided thereon are offered on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory.


To the fullest extent permitted by applicable law, Wiselia Limited expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability;
  • Fitness for a particular purpose;
  • Accuracy, reliability, or performance of website content;
  • Non-infringement of third-party rights;
  • Any warranties arising from course of dealing, usage, or trade practice.

Warranties applicable to specific client deliverables are governed exclusively by the terms of the relevant signed service agreement.


Limitation of Liability


Under no circumstances shall Wiselia Limited, its affiliates, officers, employees, licensors, or partners be liable for:

  • Any incidental, special, punitive, or consequential damages;
  • Loss of profits, business opportunities, or data;
  • Any interruption, delay, or inability to access our website or Services;
  • Any reliance on the functionality or content of our website.

This limitation applies regardless of whether Wiselia Limited was advised of the possibility of such damages. Liability relating to specific client engagements is governed by the terms of the applicable service agreement.


Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some or all of the above limitations may not apply to you. In such cases, liability will be limited to the maximum extent permitted by applicable law.


Inclusion of Third-Party Components


Software deliverables and website components created by Wiselia Limited may incorporate third-party libraries, frameworks, or open-source components. Please note the following:

  • These third-party components are governed by their own license agreements, which may include open-source or free software licenses.
  • This EULA does not override, limit, or expand the rights granted to you under those third-party licenses.
  • Your use of any such third-party software is subject solely to the terms set forth by the respective licensors. We encourage you to review those license agreements carefully.
  • Nothing in this EULA alters or supersedes any legal rights you may have under applicable third-party licenses.


Miscellaneous


Jurisdiction and Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Hong Kong, including applicable international copyright laws and treaties, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Hong Kong.


Entire Agreement. This Agreement constitutes the entire understanding between you and Wiselia Limited concerning your use of the website and any non-contractual Services, and supersedes all prior or contemporaneous agreements, whether written or oral, on the same subject matter. Formal client engagements are governed by separately executed service agreements.


Severability. If any provision of this Agreement is determined by a competent court to be unlawful, invalid, or unenforceable, such provision shall be modified or limited to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.


Termination of Agreement


This EULA becomes effective upon your first access to our website or use of any Services provided by Wiselia Limited and remains in effect until terminated.


You may terminate this Agreement at any time by providing written notice to Wiselia Limited or by discontinuing your use of the Services.


Additionally, this Agreement will automatically terminate if you violate any of its terms or conditions. Upon termination, all rights granted to you under this Agreement will immediately cease.
